1. Agreement

These Terms of Use ("Terms") govern your access to and use of the ToroAI operator portal, APIs, documentation, and related services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself and, if you use the Service on behalf of an organization, that organization.

If you do not agree, do not use the Service. We may update these Terms; see Section 12.

2. The Service

ToroAI provides tools for businesses to operate messaging workflows (including WhatsApp-related capabilities where configured), collaborate as operators, and configure automations (which may include AI where enabled). Features may change, be renamed, or discontinued with reasonable notice when feasible.

3. Eligibility and accounts

You must provide accurate registration information and maintain the security of your credentials. You are responsible for all activity under your account. Notify us promptly of unauthorized use.

You must have authority to bind your organization if you register on its behalf.

4. Acceptable use

You will not misuse the Service, including: violating laws or third-party rights; uploading malware; attempting unauthorized access; reverse engineering except where permitted by law; sending unlawful, fraudulent, harassing, discriminatory, or spam content; or using the Service to scrape or harvest data without permission.

You are responsible for your end-customer interactions and for obtaining any legally required consents, notices, and opt-ins for messaging, marketing, and data processing.

5. WhatsApp / Meta

Where you enable WhatsApp Business or other Meta products, you agree to comply with applicable Meta policies (including WhatsApp Business Terms, Messaging Policy, and Commerce Policies) in addition to these Terms. Meta may change its rules independently. We may suspend features if Meta restricts or revokes access tied to your configuration.

6. AI-generated content

If AI features are enabled, outputs may be inaccurate or incomplete. You are responsible for reviewing content before it is sent to end users and for compliance with laws and platform rules. AI features are not professional advice.

7. Intellectual property

We and our licensors retain all rights in the Service, software, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service according to your plan and documentation. You retain rights in your content; you grant us a license to host, process, and display your content as needed to provide the Service.

8. Confidentiality

You may receive non-public information about the Service; you will protect it using reasonable care and use it only as permitted.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, EXCEPT FOR INDEMNITY OBLIGATIONS OR DAMAGES THAT CANNOT BE EXCLUDED BY LAW.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF NO FEES APPLY, ONE HUNDRED U.S. DOLLARS (US$100)).

11. Indemnity

You will defend and indemnify us against claims arising from your content, your use of the Service, your violation of these Terms or law, or your interactions with Meta/end users, except to the extent caused by our willful misconduct.

12. Changes; suspension; termination

We may modify the Service or these Terms. Material changes will be communicated as described in the Service or by email where appropriate. We may suspend or terminate access for breach, risk, legal compliance, or non-payment (if applicable). You may stop using the Service at any time. Provisions intended to survive termination will survive.

13. Governing law and disputes

Unless a separate agreement states otherwise, these Terms are governed by the laws designated in your enterprise agreement; if none, by the laws applicable to the operating entity, excluding conflict-of-law rules. Courts in the designated venue have exclusive jurisdiction, unless consumer law requires otherwise.
